Panmure Liberum acted as Joint Financial Adviser and Sole Debt Adviser to Media Concierge on its recommended all-cash offer for National World plc for £65.1 million
We are pleased to announce that Panmure Liberum has acted as Joint Financial Adviser and Sole Debt Adviser to Media Concierge on its recommended all-cash acquisition of National World plc for £65.1 million, announced on 18 December and to be implemented by a Court-sanctioned Scheme of Arrangement.
The Offer is subject to a number of conditions, including the passing of resolutions by National World Shareholders at a Court Meeting and a General Meeting, and will require at least 75% of qualifying shareholders to vote in favour. The transaction is expected to complete in late Q1 2025. At the time of launch Media Concierge has received irrevocable undertakings from the National World Directors and a number of large shareholders which account for approximately 65.9% of the qualifying issued share capital of National World. Panmure Liberum’s Debt Advisory Team advised, structured and arranged the financing for the offer through an acquisition-specific loan facility provided by Barclays and HSBC.
